The Vanuatu Financial Services Commission (VFSC) regulates financial firms registered in the Republic of Vanuatu, a South Pacific state that has built a substantial offshore financial sector. The Financial Dealers Licence it issues under the Financial Dealers Licensing Act is one of the most common licences in retail forex, and understanding what it does and does not require is essential to reading a broker's regulatory page correctly.
What the licence requires
Vanuatu tightened its regime in 2017 and again afterwards. A Financial Dealers Licence holder must maintain minimum paid-up capital, appoint a locally resident director or authorised representative, submit audited annual accounts, hold professional indemnity insurance and keep client funds separate from company funds. Applicants are screened for fitness and propriety, and the VFSC has revoked licences for non-compliance.
Those requirements are real, and Vanuatu is no longer the rubber-stamp jurisdiction it was a decade ago. They are nonetheless an order of magnitude lighter than the capital, reporting and conduct obligations a European or Australian licence carries.
Leverage and retail protections
There is no leverage cap. Brokers operating through a Vanuatu entity routinely offer 500:1 and above, and this is the principal commercial reason the licence exists inside larger broker groups. Negative balance protection, if offered, is contractual policy rather than a regulatory requirement, and the client agreement is the only place it is binding.
There is no requirement to classify clients as retail or professional, no mandatory suitability assessment, and no standardised risk warning of the kind ESMA imposes.
If a broker fails
No compensation scheme exists. Recovery would run through Vanuatu insolvency proceedings, from a different jurisdiction, in a legal system most clients have no practical access to. Verifying a licence
The VFSC maintains a public register of licensees. Search the exact legal entity name from your client agreement and confirm the licence type reads Financial Dealers Licence and the status is current. A licence number quoted on a website without a matching register entry is a warning sign; so is a register entry for a company whose name differs from the one on your deposit instruction.
Who a VFSC broker suits
A Vanuatu entity suits experienced traders who understand exactly what they are giving up, want leverage unavailable onshore, and size positions on the assumption that the broker's own solvency is the only thing standing behind their balance. It does not suit a first account, and it does not suit money a trader cannot afford to have tied up in a foreign insolvency.
